Enigma 3 Studio — Terms of Service
Film & Production Rentals
1. Definitions
"Studio" means Enigma 3 Studio, including its owners, officers, employees, representatives, and agents.
"Producer" means the renting party, including its employees, contractors, vendors, visitors, cast, and crew.
"Premises" means all Studio properties, including stages, production areas, offices, common spaces, parking areas, and any Studio-owned equipment.
"Regular Business Hours" means 8:00 AM to 5:00 PM, Monday through Friday, excluding federal or national holidays observed by the Studio.
2. Rental Period & Staffing
2.1 Rental Period
Unless otherwise specified in your booking confirmation, the Studio Rental Fee covers a single, continuous twenty-four (24) hour period beginning at the scheduled start time. Usage beyond the established period will be billed as an additional full-day rental, subject to availability and approval.
2.2 Studio Manager (Regular Business Hours)
Studio personnel must be present whenever any stage is occupied, unless otherwise agreed in writing. The Studio will designate an On-Call Studio Manager as the primary point of contact during Regular Business Hours. The Studio Manager is authorized to address operational matters, enforce rules, and make decisions necessary for safe and efficient use of the Premises.
2.3 After-Hours & Weekend Staffing
For after-hours activity, the Studio recommends retaining a Studio Manager on-site. Any hours worked outside Regular Business Hours incur an overtime personnel charge at the published rate.
Personnel working on Saturday, Sunday, or observed holidays are billed at the 6th and 7th Day Rate.
If both parties agree staffing is unnecessary, the Producer must sign a separate 24-Hour Access Agreement (Section 8) and assumes full responsibility for all operational, safety, and security matters during that period.
3. Load-In, Load-Out & Prep Days
3.1 Available Windows (Subject to Availability)
Prep Day: 8:00 AM – 5:00 PM
Half-Day Load-In: 1:00 PM – 5:00 PM
Half-Day Load-Out: 8:00 AM – 12:00 PM
3.2 Definitions
Prep Days: Non-filming setup time
6th and 7th Days: Additional filming days beyond the standard weekly schedule (weekly/monthly rentals only)
3.3 Rate Structure
For the first prep day and 6th/7th days, Producer is billed only for non-rental fees (power, disposal, HVAC, internet, studio manager hours, facility impact fees). No base rental fee applies.
3.4 Limitations
Producer may request one (1) Prep Day and one (1) Wrap Day at discounted rates, subject to availability. Additional days are billed at the full standard rate.
3.5 First Right of Refusal
If another party requests a day designated as Prep, Wrap, or Load-In/Load-Out for Producer, Producer has first right of refusal to secure that day at the full rate. If declined, the Studio may reassign the day.
3.6 After-Hours Load-In/Load-Out
Any staging, equipment movement, lighting setup, or rigging outside the windows in Section 3.1 incurs an additional charge of $200 per hour (or portion thereof), plus applicable rental and personnel fees.
4. Safety & Fire Compliance
4.1 General Compliance
Producer must comply with all applicable city, county, state, and federal fire codes, safety regulations, and building requirements.
4.2 Daily Personnel List
Producer shall provide a complete list of all cast, crew, vendors, and visitors present each production day. Failure to provide an accurate list may result in suspension of stage access.
4.3 Emergency Exits
Producer shall maintain a minimum of four (4) feet of unobstructed clearance at all emergency exits at all times.
4.4 Fire Equipment
All fire extinguishers and safety equipment must remain accessible, visible, and unobstructed. Fire extinguishers may only be used in emergencies. Any damage to, tampering with, or removal of safety equipment is the financial responsibility of the Producer.
5. Equipment Operation & Working at Heights
5.1 Certified Operators Only
Only individuals holding current, OSHA-approved certifications may operate forklifts, scissor lifts, aerial lifts, or powered industrial equipment on the Premises.
5.2 Producer Liability
Producer assumes full responsibility for:
Damage to Studio property or equipment caused by Producer's personnel
Injury or accidents arising from equipment operation
Misuse, unsafe practices, or safety violations
5.3 Workers' Compensation
Producer shall maintain Workers' Compensation insurance covering all personnel on the Premises.
5.4 Uncertified Operators Prohibited
Uncertified operators are strictly prohibited from operating Studio equipment. Producer assumes exclusive liability for any damage, loss, or injury from unauthorized operation.
5.5 Studio Assistance
During business hours, Studio personnel may assist with equipment operation at their discretion, subject to availability and applicable rates.
5.6 Right to Suspend Operations
The Studio reserves the right to immediately halt any operation deemed unsafe, non-compliant, or in violation of these Terms.
5.7 Working at Heights
Personnel working at heights must provide proof of fall protection training. Fall arrest systems are mandatory for work above four feet (4') unless compliant handrails are installed. Roof access is strictly prohibited.
5.8 Rigging & Installations
All production equipment may only be suspended from the designated grid system. Loads must be properly distributed and may not exceed posted limits. Suspension from rafters, structural beams, or unapproved points is strictly prohibited.
6. Firearms, Pyrotechnics & Special Effects
6.1 Live Ammunition Prohibited
Live ammunition is strictly prohibited on the Premises.
6.2 Special Effects Approval Required
Use of firearms, blanks, pyrotechnics, open flames, smoke effects, or hazardous special effects requires:
Prior written approval from the Studio
Certified operators
All applicable permits from governmental authorities
7. Cleaning, Vehicles & Waste Disposal
7.1 Cleaning Deposit
Producer shall pay a refundable $500 Cleaning Deposit. This deposit is subject to deduction based on the final condition of the Premises. Remaining funds will be released within ten (10) business days following final wrap.
7.2 Vehicles on Stage
Vehicle movement onto or off the stage is permitted only during Regular Business Hours or when accompanied by a Studio Manager. Producer is responsible for adherence to safety protocols and any damage caused.
7.3 Trash & Disposal
Producer is responsible for bagging and removing all trash, debris, food waste, and production materials. Trash must be placed in the designated dumpster (northeast corner). If trash exceeds ten (10) bags or requires special handling, additional disposal charges apply.
7.4 Broom-Clean Standard
Producer shall leave the Premises in "Broom-Clean" condition:
All trash collected, bagged, tied, and removed from main areas
All significant spills wiped up and removed
All props, sets, equipment, and personal items cleared or consolidated
All support room furniture returned to original position
Failure to meet this standard results in the Post-Rental Cleanliness Surcharge. Additional cleaning labor beyond one hour will be deducted from the deposit or invoiced separately.
7.5 Hazardous Material Disposal
Disposal of paint, solvents, chemicals, or hazardous materials into sinks, drains, or exterior surfaces is strictly prohibited. All hazardous waste must comply with applicable law. Remediation costs will be billed to Producer.
7.6 Parking
Producer must comply with all posted parking rules and capacity limits. Producer is responsible for coordinating overflow parking and for any fines resulting from improper parking or blocking access.
8. 24-Hour Access & Security
8.1 Authorized Access
For unsupervised access outside Regular Business Hours, Producer and each individual must sign the Studio's 24-Hour Access Agreement. Producer shall provide names and contact information for all authorized individuals.
8.2 Access Credential Fee
Each access credential issued incurs a $15 setup fee.
8.3 Credential Accountability
Producer shall maintain strict accountability for all credentials and immediately report lost credentials. Producer is fully liable for misuse, damage, or theft resulting from failure to secure or return credentials.
8.4 Alarm Requirements
Producer shall ensure the security alarm is activated upon departure. Failure to activate the alarm incurs a $200 after-hours incident fee. Any after-hours breach, false alarm, or required Studio response attributable to Producer results in additional fees and overtime costs.
8.5 Video & Audio Security
The Premises maintain a comprehensive video and audio security system. Deactivation, alteration, obstruction, or access to security footage is strictly prohibited without express written permission from the Studio Manager.
9. Use of Premises
9.1 License Only
This Agreement constitutes a license for short-term use and does not grant any right of tenancy, title, or permanent occupancy. Producer agrees to comply with all terms of the Studio's master lease.
9.2 Assigned Spaces Only
Producer may only use spaces specifically assigned or approved under the booking.
9.3 No Unauthorized Modifications
No modification, mounting, or alteration of Studio property is permitted without prior written consent. Producer is responsible for repairing or replacing all damages.
9.4 Non-Interference
Producer agrees not to obstruct, interfere with, or impede other operations, tenants, or licensees of the Studio.
10. Animals on Premises
10.1 Registration Required
Any animal brought onto the Premises must be approved, registered, and photographed. Animals must be under control, on a leash (if applicable), and supervised at all times.
10.2 Liability
Producer is responsible for all damage, cleanup, or injury caused by any animal. The Studio may require immediate removal of any animal posing a safety risk.
11. Insurance Requirements
11.1 General Liability
Producer shall maintain Commercial General Liability insurance with limits of not less than $1,000,000 per occurrence, naming Enigma 3 as Additional Insured and Loss Payee.
11.2 Workers' Compensation
Producer shall maintain Workers' Compensation insurance in accordance with Utah law.
11.3 Policy Terms
All required policies shall be primary and non-contributory, with not less than thirty (30) days' prior written notice of cancellation, non-renewal, or material change.
11.4 Failure to Maintain Insurance
If Producer fails to maintain required insurance, Producer assumes all liability for claims, losses, or damages arising from use of the Premises.
12. Indemnification
Producer agrees to indemnify, defend, and hold harmless the Studio, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
Producer's use of the Premises
Violation of these Terms
Actions of Producer's employees, contractors, guests, or vendors
Any third-party claims related to Producer's activities
13. Limitation of Liability
To the maximum extent permitted by law, the Studio's total liability for any claim arising from these Terms shall not exceed the total amount paid by Producer for the specific booking in question.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah.
15. Dispute Resolution
Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Salt Lake City, Utah under the rules of the American Arbitration Association.
16. Modifications
The Studio reserves the right to modify these Terms at any time. Changes are effective upon posting. Continued use of Services after changes constitutes acceptance.
17. Entire Agreement
These Terms, together with your booking confirmation and any additional agreements signed by both parties, constitute the entire agreement regarding your rental.
Acknowledgment
By completing your booking, you acknowledge that you have read, understood, and agree to these Terms of Service.
